Terms of Service
These Terms of Service outline the general conditions under which Southern Consulting provides managed IT services, web and visibility services, and consulting or project-based work. By engaging our services, clients agree to the terms outlined below.
Scope of Services
Southern Consulting provides managed IT services, web and visibility services, and IT consulting or project-based work as defined in individual proposals, agreements, or statements of work.
Services are limited to the scope outlined in writing. Any work requested outside the agreed scope may be billed separately or require an updated agreement.
Managed Services Term & Cancellation
Managed services are 12 months periods provided on a month-to-month basis unless otherwise stated in writing.
Either party may cancel managed services after the 12 months with sixty (60) days written notice. Notice must be provided via email or written communication to ensure proper documentation and transition planning.
Services and billing will continue during the notice period. Early termination without proper notice does not waive payment obligations for the notice period.
Project & Consulting Engagements
Consulting and project-based services are scoped individually and may be billed hourly or at a fixed rate, depending on the nature of the work.
Project timelines, deliverables, and pricing will be outlined in writing prior to work beginning. Changes to scope may result in adjusted timelines or additional charges.
Billing & Payment Terms
Invoices are issued according to the agreed billing schedule and are due upon receipt unless otherwise stated.
Late payments may result in delayed service, paused work, or suspension of non-critical services until the account is brought current.
Southern Consulting reserves the right to require payment before resuming services if an account becomes past due.
Client Responsibilities
Clients agree to:
Provide timely access to systems, accounts, and information necessary to perform services
Maintain valid licenses, subscriptions, and credentials for third-party software and services
Designate an authorized point of contact for approvals and communication
Delays caused by lack of access or required information may impact timelines and are not the responsibility of Southern Consulting.
Third-Party Services & Vendors
Southern Consulting may work with or coordinate third-party vendors, software providers, or service platforms on behalf of the client.
Southern Consulting is not responsible for outages, changes, pricing adjustments, or failures related to third-party services outside of our direct control.
Data, Security & Compliance
While Southern Consulting follows security best practices and structured processes, no system can be guaranteed to be completely secure.
Clients remain responsible for regulatory compliance requirements applicable to their organization. Southern Consulting provides support and guidance but does not serve as a legal or compliance authority.
Limitation of Liability
Southern Consulting is not liable for indirect, incidental, or consequential damages, including but not limited to lost revenue, data loss, or business interruption, except where required by law.
Liability for services provided is limited to the amount paid for services during the preceding thirty (30) days.
Service Availability
While we strive for timely response and reliable service, availability may vary based on workload, urgency, and service type.
Emergency or after-hours services, if offered, may be billed separately unless included in a managed services agreement.
Ownership & Access Upon Termination
Upon termination of services, clients retain ownership of their data and accounts.
Southern Consulting will provide reasonable assistance with transition or handoff during the notice period. Extended transition support beyond the notice period may be billed separately.
Changes to Terms
Southern Consulting reserves the right to update these Terms of Service as needed. Clients will be notified of material changes.
Continued use of services constitutes acceptance of the updated terms.
Governing Law
These Terms of Service are governed by the laws of the state in which Southern Consulting operates.
